Instrument of Binding Consent & Indemnified Engagement

Organizers: Rudra Events (Initiator) in collaboration with BluMart Global LLP (Execution Partner)

1. Applicability & Scope

This binding covenant applies to all Exhibitors, Sponsors, Vendors, Suppliers, Service Providers, Advertisers, Promoters, Associating Partners, Collaborating Entities, and any affiliated individuals or companies participating in or associating with Infra Connect Expo 2025.

2. Acceptance & Enforceability

By virtue of engagement, registration, participation, or association - whether digitally, verbally, or physically - this agreement shall be deemed irrevocably accepted, irrespective of signature or acknowledgment.
The agreement shall be legally binding and enforceable under the Indian Contract Act, 1872 and shall comply with GST Act, 2017 and all applicable statutory directives.

3. Indemnity & Liability Waiver

All parties hereby irrevocably indemnify and hold harmless BluMart Global LLP and Rudra Events, their directors, officers, employees, and affiliates from any claims, damages, losses or liabilities arising out of:

1. Negligence, omission, breach, or misconduct by the participating entity or its representatives.
2. Third-party disputes, logistical failures, or service lapses.
3. Any act or default not directly attributable to the Organizers.

The Organizers shall remain absolutely exonerated from any legal, financial, or reputational liability in all such cases.

4. Taxation & Compliance

All participating entities shall ensure full compliance with GST regulations, including issuance of valid tax invoices, timely filings, and adherence to applicable rates and reverse charge mechanisms where applicable.
The Organizers shall not be held responsible for any tax defaults, audit discrepancies, or statutory violations committed by the participating party.

5. Final Authority & Jurisdiction

All decisions made by the Management of BluMart Global LLP and Rudra Events shall be final, binding, and non-contestable.
Any disputes shall be subject to exclusive jurisdiction Management Committee of BluMart Global LLP and Rudra Events.

6. Digital Hosting & Constructive Acceptance

This agreement is publicly hosted on www.infraconnectindia.com.
Accessing, engaging, or participating in any form with Infra Connect Expo 2025 constitutes constructive acceptance of this covenant.

7. Clause of Ethical Deliverance & Non-Compensatory Compliance

• All participating entities shall ensure timely delivery of agreed-upon goods, services, and commitments, in accordance with the pre-approved scope, quality benchmarks, and event timelines.
• Vendors and partners are bound to uphold strict standards of business ethics, professional conduct, and operational transparency, as per the Code of Commercial Diligence and Ethical Trade Practices.
• Any deviation, delay, substandard delivery, or breach of professional ethics shall empower the Organizers to impose a monetary penalty, operational restriction, or reputational censure, at the sole discretion of the Management of BluMart Global LLP and Rudra Events. Such decisions shall be final, binding, and non-negotiable.
• The Organizers shall not be liable to pay any compensation, damages, or restitution under any circumstance.
• All payments made to the Organizers are strictly non-refundable.
• In cases of unsatisfactory service, defective material supply, or breach of agreed standards, the Organizers reserve the right to delay, discount, or withhold payments to the concerned party, without prior notice.

8. Unified Instrument of Participatory Concurrence & Indemnified Commercial Adherence (UIPCICA)

9. Policy Clause for Website Inclusion

By engaging in any form of participation, association, supply, sponsorship, promotion or service provision for Infra Connect Expo 2025, all entities - corporate or individual - shall be deemed to have irrevocably accepted the terms outlined under the Unified Instrument of Participatory Concurrence & Indemnified Commercial Adherence (UIPCICA).
This includes unconditional adherence to delivery timelines, ethical conduct and operational accountability.
The Organizers reserve the right to impose penalties, withhold payments or delay settlements in cases of non-performance, substandard deliverables or breach of professional ethics.
All payments made are strictly non-refundable and no compensation shall be entertained under any circumstance.
The decisions of BluMart Global LLP and Rudra Events shall be final, binding and beyond contestation.
